Seller Terms & Conditions

These Seller Terms & Conditions supplement our main Terms and Conditions and govern your use of the Diman Marketplace specifically to list, market, and sell your products as a Vendor. By registering as a vendor, you agree to comply with all policies set forth by Diman Group of Companies Pvt. Ltd.

1. Your Role as a Vendor

You are a vendor if you use the Service to list, market, and sell products to buyers. Diman operates as an online platform to facilitate transactions. Your contract for the sale of any product is directly with the buyer.

2. Vendor Accounts and Registration

To access vendor features of the Service, you must register for a seller account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Keep your account information and password secure and confidential.
• Notify us immediately of any unauthorized use of your account.
• Be solely responsible for all activities that occur under your account.

3. Payments and Commissions

• Payment Flow: All payments made by buyers are initially received by Diman. We will hold these funds until the transaction is successfully completed, at which point you will be paid, minus our commission.
• Vendor Commission: Vendors agree to a 25% commission on all sales made through the Diman platform. This commission will be automatically deducted from the final sale amount before the payout is made to your vendor wallet/bank account.

4. Vendor Obligations

As a vendor using the Service, you must adhere to the following rules:

• Product Listings: You may list any products that are legal to sell in Sri Lanka. All product descriptions, images, and information must be accurate, truthful, and not misleading.
• Pricing: You are responsible for setting the price of your products. You agree to the 25% commission deduction on all sales.
• Order Fulfillment: You must fulfill orders within 1 to 5 days from the date the order is confirmed. This includes packaging the product and handing it over for delivery.
• Shipping: All shipping is currently limited to addresses within Sri Lanka. You are responsible for ensuring products are properly packaged for safe transit.
• No Offline Sales: You are strictly prohibited from attempting to redirect buyers to an external website or engaging in any form of transaction outside of the Diman platform for products listed on our marketplace. Violation of this rule may result in immediate account suspension.

5. Intellectual Property Rights

You retain ownership of the intellectual property in your product listings, but you grant Diman a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content to promote your products and our Service.

6. Termination

We reserve the right to suspend or terminate your vendor account and access to the Service at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms or repeated failure to fulfill orders on time.
